Terms of Service

These Terms of Service ("Terms") govern access to and use of the Kostiak Green platform, including the website, dashboard, alerts, reports and any related services (collectively, the "Platform"), operated by Kostiak Systems LLC ("Kostiak Green", "Company", "we", "us", "our"). By creating an account, starting a trial, or otherwise using the Platform, you ("Customer", "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.

Kostiak Green is a B2B data analytics service for the licensed cannabis retail industry. We aggregate publicly available cannabis market data and apply our own proprietary data engine and analytical methodology to produce derived intelligence products, including but not limited to the Kostiak Pricing Health score, apples-to-apples price-per-gram and price-per-milligram-of-THC normalization, margin-leak detection, genetic-family pricing analysis, and competitor and market benchmarking (collectively, the "Derived Metrics").

Kostiak Green is not a cannabis retailer, distributor, cultivator, processor, or any other plant-touching business, and does not hold or require a cannabis license to operate. We do not sell, transfer, or facilitate the sale of cannabis or cannabis products of any kind. The Platform provides software and data analytics services only.

3.1 Age and authority. You must be at least 21 years of age and have the legal authority to enter into this agreement to use the Platform.

3.2 Intended customers. The Platform is intended for licensed cannabis operators, brands, and professionals serving the licensed cannabis industry. We may request reasonable verification of your business before or during your subscription.

3.3 Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@kostiak.pro of any suspected unauthorized use.

3.4 One account per business. Each subscription is intended for use by a single business entity at the seat/team-member allowance of its plan (see Section 5). Creating multiple accounts to circumvent plan limits or pricing is a violation of these Terms.

4.1 Trial length. New accounts are eligible for a 14-day free trial of the Platform. No credit card or other payment method is required to start a trial.

4.2 What happens at the end of the trial. If you have not added a valid payment method by the end of the 14-day trial period, your trial ends automatically, your account is not charged, and access to paid features is suspended. No action is required on your part to avoid being charged — the trial does not auto-convert to a paid plan unless you affirmatively add a payment method and select a plan. If you add a payment method and select a plan during or at the end of the trial, your subscription begins and billing starts in accordance with Section 5.

4.3 One trial per business. We reserve the right to limit free trials to one per business entity, email domain, or payment method to prevent abuse.

5.1 Plans. Kostiak Green currently offers three paid subscription tiers: Local ($129/month), Professional ($299/month, up to 5 team members), and Corporate ($799/month). Current plan features, limits, and team-member allowances are described on our pricing page and may be updated from time to time as described in Section 5.5.

5.2 Payment processing.All subscription payments are processed by Paddle.com, acting as our payment processor and merchant of record for billing purposes. By subscribing, you also agree to Paddle's applicable buyer terms. We do not store your full payment card details — they are handled directly by Paddle.

5.3 Billing cycle. Paid subscriptions bill in advance on a monthly (or, where offered, annual) basis, starting on the date you select a plan and add a valid payment method.

5.4 Auto-renewal. Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with Section 6.

5.5 Price and plan changes.We may change our prices or plan features from time to time. We will provide at least 30 days' notice of any price increase that affects your current subscription before it takes effect. Continued use of the Platform after a price change takes effect constitutes acceptance of the new price.

You may cancel your subscription at any time from your account settings or by emailing hello@kostiak.pro. Cancellation takes effect at the end of your current billing period, and you retain access to paid features until that date. We do not charge any cancellation fee. See our Refund Policy for details on refunds.

7.1 How our data works.Kostiak Green's platform is built on a proprietary data engine that aggregates cannabis market data available publicly, and transforms it through our own normalization methodology and analytics into Derived Metrics (as defined in Section 2). We do not redistribute raw, unprocessed third-party data through the Platform.

7.2 Ownership. The Platform, our data engine, our normalization and scoring methodologies, the Pricing Health, and all other Derived Metrics, dashboards, reports, visualizations, and outputs generated by the Platform are the intellectual property of Kostiak Systems LLC and are protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of any of the foregoing to you.

7.3 License to you. Subject to your compliance with these Terms and the Acceptable Use restrictions in Section 8, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its outputs solely for your own internal business purposes during your subscription term.

7.4 Your data. You retain ownership of any information you provide to us (such as your business name, location, and account information). We do not sell your account or usage data to other operators or competitors.

All subscription tiers are licensed for the internal business use of the subscribing entity only. Regardless of plan, you agree not to:

(a) resell, sublicense, rent, lease, or otherwise redistribute the Platform, its Derived Metrics, reports, exports, or any data obtained from it to any third party, including affiliated or unaffiliated businesses, except as expressly permitted in writing by us;

(b) use the Platform or its outputs to build, train, or improve a competing product or service;

(c) systematically scrape, crawl, or extract data from the Platform using automated means beyond normal, authorized use of the dashboard and any API we may provide to your plan;

(d) reverse-engineer, decompile, or attempt to derive the source code or underlying methodology of our normalization or scoring engines;

(e) share account credentials with any party outside the seat/team-member allowance of your plan, or otherwise circumvent plan limits; or

(f) use the Platform for any unlawful purpose or in violation of applicable cannabis-industry regulations in your jurisdiction.

Tier-specific allowances and limits (including team-member seats) are described in our Acceptable Use Policy, which is incorporated into these Terms by reference.

Kostiak Green provides market intelligence based on data available to our data engine at the time of processing. We do not guarantee that the Platform's data, scores, or Derived Metrics are complete, current, or free of error. Output from the Platform should be treated as one input among others in your business decision-making, not as the sole basis for any pricing, inventory, or business decision. Kostiak Green is not responsible for business decisions made in reliance on the Platform.

You agree to indemnify, defend, and hold harmless Kostiak Systems LLC, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party right.

We may suspend or terminate your access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, including the Acceptable Use restrictions in Section 8. You may stop using the Platform and cancel your subscription at any time as described in Section 6. Provisions of these Terms that by their nature should survive termination (including Sections 7, 8, 9, 10, and 11) will survive.

We may update these Terms from time to time. If we make a material change, we will provide notice via email or an in-product notice at least 14 days before the change takes effect. Continued use of the Platform after a change takes effect constitutes your acceptance of the updated Terms.

These Terms are governed by the laws of [JURISDICTION TO BE CONFIRMED BY COMPANY/ATTORNEY], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will first be addressed through good-faith negotiation between the parties before either party pursues formal proceedings.
